This is a contractual agreement between Just English Manpower Service and your company. Herein referred to as the client. This contract is binding and legally identifies and stipulates the a-fore mentioned articles.

Just English Manpower Service (以下、甲という。)と貴社(以下、乙という。)とは、次の通り、契約を締結する。

  1. Just English Manpower Service will provide an instructor to the client at specified and predetermined locations. If for any reason the original instructor cannot attend the class, Just English Manpower Service will send a substitute at no additional cost to the client. Daily rates and regular service changes still apply.

    甲は、乙があらかじめ指定した場所に講師を派遣する。もしも、その講師が何らかの理由にてクラスに出席できない場合、甲は追加料金なしで別の講師を派遣するものとする。ただし、通常の一日あたりの料金はかかるものとする。
  2. Just English Manpower Service will ensure the instructor is qualified and professional at all times. If the client feels that a teacher is not suitable for any reason, they may contact Just English Manpower Service office directly and request a different instructor at no additional cost to the client. However the client must give ample reason as for such changes. Daily rates and regular service changes still apply.

    甲は、甲の講師がいつでもプロ意識を持ち、甲にて講師の訓練を受けたものであることを保障する。もしも、乙が何らかの理由で講師が適任でない、と感じた場合は、甲に直接連絡し、別の講師を追加料金なしで依頼することが出来る。ただし、そのような場合、乙は正当な理由を挙げなければならない。通常の一日あたりの料金はかかるものとする。
  3. Just English Manpower Service instructors will bring all needed and necessary materials for teaching said class(s) unless other materials have been prearranged or requested by the client.

    甲の講師は、クラスを教えるのに必要な教材を全て用意することができる。ただし、乙より教材の指定がある場合は、それに従うものとする。
  4. Just English Manpower Service and/or instructors are not responsible for cancelled or non-scheduled classes. All payments will not reflect cancelled non-scheduled classes. Classes that are considered make-ups will be contracted separately and on an individual basis only. All cancellations and/or rescheduled classes must be reported to Just English Manpower Service office management within 48 hours prior.

    甲は、当日キャンセルされたクラスや、追加されたクラスについては、責任はない。料金には、当日キャンセル分は反映されない。キャンセル後、再度スケジュールされ直したクラスについては、別途契約になる。キャンセルや、スケジュールの変更については、48時間前に甲に通知されなければならない。
  5. Just English Manpower Service is an aid to the client only. Just English Manpower Service and staff are not employed by said client and do not abide by the client or company’s rules or policies. Just English Manpower Service and instructors will act in a professional and responsible manner at all times while engaged in activities or class(s) and will comply with operational rules and procedures while attending and/or teaching at contracted location(s).

    甲は乙にとって、単なる補助である。甲と甲のスタッフは、乙の従業員ではないため、乙の規則や方針に従うものではない。甲の講師は、乙のクラスでは常にプロ意識を持ち、責任ある態度で、乙の手順に従うものとする。
  6. Just English Manpower Service will provide said service for the remuneration pay of

    甲は、下記の料金でサービスを提供するものとする。
    1 hour / 1時間　¥5,000
  7. Transportation fee to and from the instructor’s residence is to be paid by the client to Just English Manpower Service company.

    講師の自宅から乙の指定場所までの往復の交通費は、乙が甲に支払うものとする。
  8. Remuneration for the month is to be paid by the 5th of the month by bank transfer.

    支払いは、銀行振込で月末締め5日払いとする。
  9. At no time will teachers supplied by or working for Just English Manpower be directly requested to work at different times or adjusted schedules without the direct consent of Just English Manpower management.

    授業の追加、変更などは、講師に直接ではなく、必ず甲を通すものとする。
  10. This contract stipulates and is in agreement with all parties involved that no Just English Manpower instructor and/or staff member will be contacted regarding possible employment or hired directly or indirectly by the client for at least 6 months past the last service date of this contract without the prior consent of the Just English Manpower management. Any instructor and/or staff member contacted regarding possible employment or hired directly or directly by the client without the prior consent of Just English Manpower management will compensate Just English Manpower with a forfeiture of all monies of said contract and the immediate cancellation of compensate Just English Manpower with a forfeiture of all monies of said contract and the immediate cancellation of the said contract. A penalty charge of ¥50,000 will apply for each violation.

    乙は、甲の講師、スタッフをこの契約終了後より6ヶ月以内に直接雇うことはできない。また、直接講師に雇用に関する話をすることはできない。これらに違反した場合は、乙は甲に契約違反の料金として￥50,000を支払うものとする。
  11. Compensation will include all days and times of scheduled and/or contracted work requested for each month(30days).

    乙は甲に予約した、その月のスケジュール全ての分の料金を、毎月支払うものとする。
  12. The client will be fined and/or penalized for any and/or all invoices and/or bills from Just English Manpower that are not paid in full by the date listed on the invoices and/or bill. The client must pay a late fee and will be assessed ¥10,000 per each week the invoice and/or bill is outstanding.

    請求書は乙より甲に月末にファックスにて送るものとする。支払期日を過ぎた場合は1週間ごとに￥10,000が加算される。
  13. Any discrepancies and/or errors and/or questions must be addressed within 7 days of receipt of said invoices and/or bills.

    請求書について乙より疑問、訂正がある場合は、発行日より７日以内に甲に連絡するものとする。
  14. This contract can be voided or cancelled at any time through communication with Just English Manpower Service staff or management. Cancelled contracts must be in writing two weeks prior to final cancellation.

    本契約は、甲経営側を通して、いつでも破棄することができる。その場合、乙は契約最終日より２週間前までに破棄の旨を書面にて甲に提出するものとする。
